Terms of Service
The terms on which we provide the TradeVault platform. Please read them before using the service.

1. Who we are & these terms
TradeVault (“we”, “us”, “our”) is a construction workforce and commercial management platform operated by TradeVault App Ltd, a company registered in England & Wales with company number 17265279, registered office 5 Mill House Crescent, Huddersfield, HD7 5ZB, United Kingdom. These Terms of Service (“Terms”) govern your access to and use of the TradeVault website and platform (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
TradeVault helps construction contractors manage their workforce, plots and sites, drawings, applications, invoices, CIS records and site costs. Features available to you depend on your plan. We may add, change or remove features over time to improve the Service.
3. Accounts
- You must provide accurate account and company details and keep them up to date.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must be authorised to act for the company you register, and be at least 18 years old.
- You are responsible for the users you invite (for example your operatives and office staff) and their use of the Service.
4. Free trial, plans & payment
- 30-day free trial. New companies get a 30-day free trial. You set up payment at signup so the Service is ready to use, but nothing is charged for the first 30 days.
- Subscriptions. After the trial, your chosen plan is billed monthly in advance. Plans and prices are shown on our Pricing page and exclude VAT.
- Month-to-month. There is no long-term contract. You can cancel at any time, effective at the end of your current billing period.
- Plan limits. Each plan includes a limit on active operatives. If you need more, you can move to a higher plan.
- Late or failed payment. If a payment fails, we may suspend access until it is resolved.
- Changes to pricing. We may change plan prices on reasonable notice; changes apply from your next billing period.
5. Acceptable use
You agree not to:
- use the Service unlawfully, or to store or share unlawful content;
- attempt to gain unauthorised access to the Service, other accounts or our systems;
- copy, resell, reverse-engineer or attempt to extract the source code of the Service, except as allowed by law;
- disrupt or overload the Service, or introduce malicious code;
- use the Service to infringe anyone’s rights or to send unsolicited marketing.
6. Your data & data protection
You keep ownership of the data you and your users enter (your “Customer Data”), including workforce, site and commercial records. For the personal data within it, you are the data controller and we act as your data processor, handling it on your instructions under our Privacy Policy and any data-processing terms. You are responsible for having a lawful basis to enter other people’s personal data (for example your operatives’ details) into the Service. We take appropriate technical and organisational measures to protect Customer Data, but you are responsible for keeping your own copies where you need them.
7. CIS, VAT & professional advice
TradeVault helps you record and calculate CIS deductions, VAT, retention and similar figures, and generate documents such as CIS statements. These tools are provided to assist you — they are not accountancy, tax or legal advice, and they do not replace your own or your accountant’s responsibility for HMRC filings and compliance. You are responsible for checking that the figures and returns you rely on are correct.
8. Intellectual property
We and our licensors own all rights in the Service, including its software, design, branding and content (other than your Customer Data). We grant you a non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. You keep all rights in your Customer Data.
9. Availability
We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and may suspend the Service where necessary for security, legal or technical reasons.
10. Disclaimers
Except as expressly stated and to the extent permitted by law, the Service is provided “as is” without warranties of any kind. We do not warrant that the Service will meet every requirement or that results obtained from it will be accurate for every purpose.
11. Liability
Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data; and our total liability to you in any 12-month period is limited to the fees you paid us for the Service in that period. You are responsible for keeping your own records and backups of business-critical data.
12. Suspension & termination
You may cancel at any time from your account or by contacting us. We may suspend or end your access if you materially breach these Terms, fail to pay, or use the Service unlawfully. On termination your right to use the Service ends; we will make your Customer Data available for a reasonable period on request, after which it may be deleted in line with our Privacy Policy.
13. Changes to these terms
We may update these Terms from time to time. If we make material changes we will give reasonable notice (for example by email or in the app). Continuing to use the Service after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, except that you may bring claims in your local courts where the law requires.
